This Terms of Service Agreement ("Agreement") governs your use of the CalX platform, mobile applications, websites, and any other related services (collectively, the "Services") provided by ZStack Capital LLC (“CalX,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by the terms and conditions contained in this Agreement and all terms incorporated by reference. If you do not agree to these terms, you may not access or use the Services.
The Services are provided for your personal and non-commercial use. CalX grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services for their intended purposes subject to your compliance with this Agreement. You agree not to use the Services for any illegal or unauthorized purpose.
To access certain features of the Services, you may be required to create an account. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify CalX immediately of any breach of security or unauthorized use of your account.
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by CalX, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Any content you upload, store, or transmit through the Services, including messages, text, photos, videos, and other materials is considered your content ("Your Content"). You retain all rights in, and are solely responsible for, Your Content. You grant CalX a global, perpetual, irrevocable, non-exclusive, royalty-free license to use, copy, modify, distribute, publish, and process Your Content without any further consent, notice, and/or compensation to you or others.
You are responsible for your use of the Services and must comply with our policies. You may not use the Services in a manner that could harm CalX, its service providers, or any person. Prohibited activities include violating or attempting to violate any security features of the Services, using the Services to perform illegal activities, and infringing upon or violating the rights of CalX, its users, or others.
The Services may contain links to third-party websites, advertisers, services, special offers, or other events or activities that are not owned or controlled by CalX. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services.
CalX may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach this Agreement. Upon termination, your right to use the Services will immediately cease.
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. CalX makes no warranties, express or implied, as to the operation or availability of the Services.
To the maximum extent permitted by law, CalX shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your access to or use of, or inability to access or use, the Services.
This Agreement shall be governed by the laws of the State of [Your State], United States, without regard to its conflict of law provisions.
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any changes by posting the new Terms on the Services. Your continued use of the Services after any changes become effective constitutes your binding acceptance of the new Terms.
